Loan Purchases - What is Reality?
The Young Real Estate Professionals is proud to have Mr. Jordan Peters, Founding Partner of Freeborn & Peters, to speak at our next speaker luncheon on Tuesday, March 16, 2010 at the John Marshall Law School.
Loan purchases are always talked about but are they really occuring? If so, who is doing them and why are they being consummated?
Our rapidly changing commercial real estate landscape dictates that young professionals in the industry need to be knowledgeable in more than just typical asset acquisitions, dispositions, leasing and management. More and more employers are looking for professionals with a basic knowledge of note/loan purchases.
There are fundamental differences between asset transactions and note/loan transactions that will be discussed such as:
- What are the motivations of a lender to sell a loan?
- What are the benefits to the buyer of a loan versus the buyer of the underlying asset?
- What rights do you inherit when purchasing a loan?
- What should you look for in addition to asset level performance when purchasing a loan?
- What are a couple real life examples of how a loan purchase was consummated?
Mr. Peters is the Founding Partner of Freeborn & Peters, widely recognized as one of the most prestigious law firms in Chicago. He is also an adjunct professor of Finance at the John Marshall Law School.
For most of his legal career he has engaged in a commercial real estate practice and has more than 30 years experience representing parties to real estate transactions. His current practice is focused on acquisitions and dispositions, real estate based financings and leasing. His clients include developers, lenders, investors and corporate owners and lessees of office, industrial and retail properties. He also has a background in transactions involving specialized real estate interests such as mineral estates and railroad rights of way. Mr. Peters has participated in and supervised numerous transactions in which the firm has acted as issuer’s counsel and underwriter’s counsel in government financing transactions. He also frequently works closely with lawyers in the firm’s Business Law Services Group representing clients in mergers, acquisitions and dispositions where significant real estate assets are involved.
Mr. Peters is also active in real estate professional societies and in legal education pertaining to real estate and provides pro bono representation to charitable organizations in the Chicago metropolitan area with needs in areas of real estate, project finance and corporate governance.
Recent representative matters include:

Counsel for the developer of a regional shopping mall in connection with $32 million of first and second lien construction financing.

Counsel to a private real estate lender in connection with a $13 million loan for the construction of a hotel and the subsequent refinancing of the construction loan with industrial revenue bonds.

Counsel to the owner of a large suburban shopping center in connection with the acquisition from a party operating in bankruptcy of a key parcel required for the redevelopment of the center.

Pro bono counsel to a church in connection with the assembly of a development site in Chicago and the financing and construction contracts for development of a church building and community center.

Counsel to three different corporate tenants is negotiating leases for significant office space in downtown Chicago buildings.
Mr. Peters has a Bachelor's Degree from Brown University and a J.D. from John Marshall Law School.
